Vendorscope.io provides a self-service online platform for national retail buyers ("Buyers") to source suppliers ("Suppliers") in a manner similar to outsourced sales and marketing representation. The Platform facilitates communication and transactions between Buyers and Suppliers, allowing Buyers to discover, evaluate, and connect with Suppliers to establish potential business relationships.

2. User Accounts

To access certain features of the Platform, you may need to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You are solely responsible for all activities that occur under your account.

3. Acceptable Use

You agree to use the Platform in compliance with all applicable laws and regulations. You shall not use the Platform for any unlawful, harmful, offensive, or fraudulent purposes. You also agree not to:

Upload, post, or transmit any content that is unlawful, defamatory, abusive, offensive, or otherwise objectionable.
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity.
Engage in any activities that could disrupt or interfere with the proper functioning of the Platform.
Attempt to gain unauthorized access to any portion or feature of the Platform or any systems or networks connected to the Platform.

4. Buyer-Supplier Relationships

Vendorscope.io acts as a facilitator of communication between Buyers and Suppliers and does not endorse, guarantee, or warrant the quality, accuracy, or legality of any products, services, or information provided by Suppliers. Any interactions, transactions, or agreements between Buyers and Suppliers are solely between those parties.

5. Fees and Payment

Vendorscope.io may charge fees for certain services offered on the Platform. Fees and payment terms will be clearly communicated to Users prior to using those services. You agree to pay any applicable fees promptly and in accordance with the payment terms specified.

6. Intellectual Property

The content, design, and intellectual property rights related to the Platform are owned by Kawa Media Group LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.

7. Termination

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, with or without cause and without notice. Upon termination, your rights to use the Platform will cease immediately.

8. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. We do not make any representations or warranties regarding the accuracy, completeness, or reliability of the Platform or the content provided therein.

 

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Vendorscope.io or Kawa Media Group LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Changes to the Terms

We may modify these Terms at any time. Any changes will be effective upon posting the revised Terms on the Platform. Your continued use of the Platform following the posting of changes constitutes your acceptance of those changes.

 

11. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.
